FLEETRIX TERMS OF USE

These Terms of Use (“Terms”) govern access to and use of Fleetrix software, applications, websites, and related services (“Services”) operated by Fleetrix Technologies Enterprise (“Fleetrix”, “Company”, “we”, “us”, or “our”).
By accessing or using Fleetrix, you agree to be legally bound by these Terms.
If you do not agree, you must discontinue use immediately.

1. Introduction
Fleetrix is a software-as-a-service (SaaS) platform providing transportation, fleet, workforce, and operational management solutions.
These Terms form a legally binding agreement between Fleetrix and any individual, company, or legal entity accessing or using the Services (“Customer”, “User”, “you”, or “your”).
These Terms apply to all subscription plans, enterprise contracts, and service usage unless otherwise agreed in writing.

2. Definitions
For purposes of these Terms:
Account means a registered account used to access Fleetrix Services.
Authorized User means any employee, contractor, driver, staff member, or other person authorized by Customer to access Services.
Customer Data means all data, information, records, images, documents, files, and materials uploaded, stored, transmitted, or processed using Services.
Subscription Plan means a service package purchased by Customer.
Services means Fleetrix software, systems, applications, APIs, websites, and related offerings.
Confidential Information means non-public business, operational, technical, legal, financial, or strategic information.

3. Eligibility
To use Fleetrix, you must:
Be at least 18 years old
Have legal capacity to enter binding agreements
Use Services in compliance with applicable laws
If using Services on behalf of an organization, you represent that you have authority to bind that entity to these Terms.

4. Account Registration
Access to certain Services may require account registration.
Customer agrees to:
Provide accurate information
Maintain updated records
Secure login credentials
Prevent unauthorized access
Customer is responsible for all activities under its Account.
Fleetrix reserves the right to suspend or terminate Accounts containing false, incomplete, or misleading information.

5. Service Scope
Fleetrix provides transportation and operational management software solutions, including but not limited to:
Driver management
Staff management
Route planning
Scheduling and rostering
GPS tracking
Billing and invoicing
OCR and document processing
Operational analytics
Workflow automation
Features may vary depending on Subscription Plan or enterprise agreement.
Fleetrix reserves the right to modify, improve, suspend, or discontinue Services at any time.

6. License Grant
Subject to compliance with these Terms and payment of applicable fees, Fleetrix grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use Services for lawful internal business purposes.
Customer shall not:
Resell Services without authorization
Reverse engineer Services
Copy software or systems
Create derivative works
Exploit Services unlawfully
All rights not expressly granted remain reserved by Fleetrix.

7. Subscription Plans
Fleetrix may offer:
Monthly subscriptions
Annual subscriptions
Enterprise agreements
Trial plans
Promotional plans
Available features, usage limits, and pricing may vary.
Enterprise contracts may override portions of these Terms where expressly agreed in writing.

8. Payment Terms
Customer agrees to pay all applicable fees, charges, and taxes associated with Services.
Fleetrix currently accepts payment primarily via bank transfer unless otherwise agreed.
Service activation may occur only after payment confirmation.
Late or overdue payment may result in:
Suspension
Restricted access
Service termination
All payment obligations remain enforceable until fully satisfied.

9. Free Trial
Fleetrix may offer free trial access to eligible Customers at its sole discretion.Trial Services are provided on an “as-is” and “as-available” basis without warranties, guarantees, or service commitments.
Fleetrix reserves the right to determine eligibility, modify trial features, restrict usage, limit access, or terminate trial access at any time.

10. No Refund Policy
All fees paid to Fleetrix are final and non-refundable unless otherwise required by applicable law or expressly agreed in writing.
This includes subscription fees, setup fees, customization fees, professional service fees, and enterprise contract fees.

11. Customer Obligations
Customer agrees to use Fleetrix responsibly and in compliance with all applicable laws, regulations, and contractual obligations.

Customer is solely responsible for:
Internal user access control
Managing Authorized Users
Ensuring data accuracy
Obtaining required permissions and consents
Lawful collection and use of data
Customer acknowledges that Fleetrix acts as a software service provider and does not assume responsibility for Customer’s internal legal or regulatory compliance obligations.

12. Acceptable Use Restrictions
Customer and Authorized Users shall not use Fleetrix to:
Violate laws or regulations
Upload malicious software
Gain unauthorized access
Disrupt Services
Conduct fraud or illegal activities
Infringe intellectual property rights
Circumvent security controls
Abuse system resources
Fleetrix reserves the right to investigate suspected violations and take appropriate action.
Such action may include:
Warning notices
Access restrictions
Suspension
Termination
Reporting to authorities

13. Customer Data Ownership
Customer retains all ownership rights, title, and interest in Customer Data.
Fleetrix does not claim ownership of Customer Data.
Customer grants Fleetrix a limited, non-exclusive right to process, store, transmit, backup, and otherwise use Customer Data solely for purposes of:
Providing Services
Maintaining service functionality
Security monitoring
Backup and recovery
Service improvement
Legal compliance
Customer represents and warrants that it possesses all necessary rights and permissions to submit and process Customer Data using Fleetrix.

14. Intellectual Property Rights
Fleetrix and its licensors retain all ownership rights, title, and interest in and to:
Software
Applications
Source code
User interfaces
Designs
Trademarks
Logos
Documentation
Technical systems
Nothing in these Terms transfers ownership of Fleetrix intellectual property to Customer.
Unauthorized use of Fleetrix intellectual property is strictly prohibited.

15. Confidentiality
Both parties agree to maintain confidentiality of Confidential Information disclosed during the business relationship.
Confidential Information includes but is not limited to:
Business strategies
Technical information
Financial data
Customer records
Operational workflows
Internal documentation
Receiving party agrees to:
Use Confidential Information only for permitted purposes
Restrict disclosure to authorized personnel
Apply reasonable safeguards to protect confidentiality
Confidentiality obligations survive termination of these Terms.
Confidentiality obligations do not apply to information that:
Is publicly available
Was lawfully known before disclosure
Is independently developed
Is required by law to be disclosed

16. Service Availability
Fleetrix is designed to operate on a 24/7 basis, subject to scheduled maintenance, infrastructure availability, upgrades, and unforeseen technical events.
Fleetrix targets commercially reasonable service availability based on underlying infrastructure provider performance.
Service availability may be affected by:
Cloud infrastructure outages
Maintenance activities
Third-party service disruptions
Security incidents
Network failures
Force majeure events
Unless explicitly stated in a separate enterprise agreement, Fleetrix does not guarantee a specific uptime percentage.

17. Maintenance
Fleetrix may perform scheduled or emergency maintenance to maintain service quality, security, and performance.
Maintenance activities may include:
Software upgrades
Security patches
Infrastructure upgrades
Database maintenance
Performance tuning
Scheduled maintenance may be performed during designated maintenance windows where practical.
Emergency maintenance may be conducted without prior notice where necessary to protect service integrity, security, or infrastructure stability.

18. Support Services
Support scope depends on Subscription Plan and service level.
Support services may include:
Technical assistance
Bug reporting
Issue investigation
Service-related inquiries
Fleetrix currently provides support primarily through email communication.

Support response targets:
Critical Issues
Response target: within 24 business hours
Non-Critical Issues
Response target: within 2 to 3 business days
Response targets are commercially reasonable targets and do not constitute guaranteed service-level commitments.
Dedicated support channels may be introduced in future plans or enterprise agreements.

19. Backup and Recovery
Fleetrix maintains commercially reasonable backup and recovery practices to support business continuity and disaster recovery.
Backup practices may include:
Infrastructure provider backup services
Database backups
Recovery procedures
Data redundancy measures
Customer acknowledges that no backup system can guarantee zero data loss under all circumstances.
Fleetrix shall not be liable for data loss arising from circumstances beyond reasonable control.

20. Third-Party Services
Fleetrix may rely on third-party services, infrastructure providers, storage providers, integrations, and open-source technologies to provide Services.
Such services may include:
Cloud hosting
Object storage
Routing engines
OCR processing tools
Monitoring services
Analytics services
Customer acknowledges that third-party service disruptions may impact Fleetrix operations.
Fleetrix is not responsible for third-party failures outside its reasonable control.

21. Suspension
Fleetrix reserves the right to suspend, restrict, or limit access to Services immediately, with or without prior notice, if:
Customer fails to pay applicable fees
Customer breaches these Terms
Fraudulent, illegal, or abusive activity is detected
Security threats are identified
Suspension is necessary to protect Fleetrix, Customers, infrastructure, or third parties
Required by law or regulatory authorities
Suspension does not waive Customer’s payment obligations.
Fleetrix shall not be liable for damages arising from lawful suspension actions.

22. Termination
Either party may terminate Services in accordance with applicable subscription terms or enterprise agreements.
Fleetrix may terminate access immediately if:
Material breach remains uncured
Customer engages in unlawful activity
Fraud or misuse occurs
Continued access creates legal or operational risk
Termination shall not relieve Customer from outstanding payment obligations accrued prior to termination.
Upon termination, access rights granted under these Terms shall immediately cease.

23. Data Export
Upon termination or expiration of Services, Customer may request export of Customer Data, subject to:
Verification requirements
Applicable fees (if any)
Technical limitations
Legal obligations
Data export requests must be submitted within thirty (30) days after termination or expiration.
Fleetrix shall use commercially reasonable efforts to provide exportable Customer Data within reasonable technical limitations.
Fleetrix does not guarantee compatibility with third-party systems.

24. Data Deletion
Following termination or expiration, Fleetrix may retain Customer Data temporarily for purposes including:
Recovery
Compliance
Legal obligations
Dispute resolution
Security review
Unless otherwise required by law, enterprise agreement, or operational necessity, Customer Data may be permanently deleted after sixty (60) days following termination.
Certain records may be retained longer where legally required.

25. Disclaimer of Warranties
Fleetrix provides Services on an “as-is” and “as-available” basis.
To the maximum extent permitted by law, Fleetrix disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:
Merchantability
Fitness for a particular purpose
Non-infringement
Reliability
Accuracy
Availability
Fleetrix does not warrant that Services will be uninterrupted, error-free, or completely secure.

26. Limitation of Liability
To the fullest extent permitted by law, Fleetrix shall not be liable for:
Indirect damages
Incidental damages
Consequential damages
Special damages
Punitive damages
Loss of revenue
Loss of profits
Loss of business opportunity
Data loss
Business interruption
Fleetrix’s aggregate total liability arising from or relating to these Terms or Services shall not exceed the total fees paid by Customer to Fleetrix during the six (6) months immediately preceding the claim.
This limitation applies regardless of legal theory.

28.Customer agrees to defend, indemnify, and hold harmless Fleetrix, its owners, affiliates, personnel, employees, contractors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses arising from or relating to:
Customer’s breach of these Terms
Customer misuse of Services
Customer Data
Violation of laws or regulations
Violation of third-party rights
This includes reasonable legal fees, settlement costs, and enforcement expenses.

28. Force Majeure
Fleetrix shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to:
Natural disasters
Fire
Flood
War
Civil unrest
Cyberattacks
Infrastructure outages
Government actions
Telecommunications failures
Power outages
Performance obligations affected by force majeure shall be suspended for the duration of such events.

29. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to conflict-of-law principles.

30. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Malaysia.
Both parties agree to submit to the jurisdiction of Malaysian courts.
Before initiating legal proceedings, both parties agree to attempt good-faith discussions to resolve disputes amicably.

31. General Provisions
These Terms constitute the entire agreement between Fleetrix and Customer regarding use of Services.
If any provision of these Terms is found unenforceable, the remaining provisions shall remain valid and enforceable.
Fleetrix may assign or transfer rights and obligations under these Terms.
Customer may not assign rights or obligations without prior written consent.
Failure to enforce any provision shall not constitute waiver.
